Slovenia’s NLB officially takes over Komercijalna Banka

Komercijalna Banka is getting ready to welcome its new owners – NLB Group from Slovenia.

The recent change of the board of directors in Komercijalna Banka indicated that the transaction was finally completed and that Nova Ljubljanska Banka (NLB) completed the acquisition of the Serbian bank.

At the extraordinary meeting of Komercijalna Banka’s shareholders, the bank’s Board of Directors was replaced and new members from NLB. The National Bank of Serbia (NBS) itself confirmed that the acquisition process has been completed.

“The procedure following the request of Nova Ljubljanska Banka relating to the acquisition of ownership of Komercijalna Banka was concluded on December 9, with the adoption of the decree of the National Bank of Serbia, which gave prior consent to NLB to take over Komercijalna Banka and become the owner of 83.23% on voting rights,” the NBS said.

Since the news was published at the end of February that Komercijalna Banka would be sold to the Slovenian NLB for about 450 million euro, the official takeover took ten months to complete.

Finance Minister Sinisa Mali had previously announced that the transaction would be completed by the end of the year. As the National Bank of Serbia previously said, the waiting was due to NLB getting all the documents in order to obtain consent for the takeover.
